MTFC Constitution and Bylaws

Amended May 13,2013

      

I.              Name

This organization shall be known as the “Middle Tennessee Futbol Club” dba “MTFC Goodlettsville Soccer”, a non-profit 501(c())3 public educational and recreational soccer organization, incorporated under the laws of the State of Tennessee, hereafter referred to as the association.

II.            Purpose

The purpose of the Association shall be to develop, promote, advance, and administer the sport of youth soccer among youth players registered with the Association, regardless of their ability to pay.  The organization will also allow handicapped children to play soccer regardless of their ability to play. 

III.           Affiliation

The Association shall be affiliated of and comply with the authority of the Tennessee State Soccer Association (TSSA), and thereby shall be affiliated of and comply also with the authority of the United States Soccer Federation (USSF) as administered by its Youth Division, the United States Soccer Federation (USYSA) and its Amateur Division, the United States Amateur Soccer Association (USASA).

IV.          Governance

The Association shall be governed by its Constitution, Bylaws, Policies and Procedures, and  Recreational Guidelines except when these provisions are superseded by the governing authority of USSF and its divisions or by TSSA with whom the Association is affiliated.

V.            Membership

Members of the Association shall be affiliated players, soccer officials, other organizations and individuals as needed or specified by federal or state laws to comply with not-for-profit organizations.  All players will be registered with TSSA.

VI.          Legal and Tax Exempt Status

A.   The purpose for which the organization is organized is exclusively educational within the meaning of section 501(c)(3) of the Internal Revenue Code of 1954 or the corresponding provision of any future United States Internal Revenue Law.  The organization is to be a charitable organization and must operate within the laws governing such structure.

B.   Notwithstanding any other provision of these articles, this organization shall not carry on any other activities not permitted to be carried on by an organization exempt from Federal Income Tax under Section 501(c)(3) of the Internal Revenue Code of 1954 or he corresponding provisions of any future United States Internal Revenue Law.

C.   In the event of dissolution, the residual assets of the organization will be turned over to one or more organizations which themselves are exempt as organizations described in Section 501(c)(3) and 170(c)(2) or the Internal Revenue Code of 1954 or corresponding sections of any prior or future Internal Revenue Code, or to the Federal, State or local government for exclusive public purposes.

VII.         Amendments & Bylaws

Amendments & Bylaws to this Constitution must be approved by a two-thirds vote of the Board of Directors.

 

Bylaws for Mid-Tenn Futbol Club (MTFC)


Bylaw I.          GOVERNING BODY

A.    Governing Authority

The governing authority of the MTFC shall be vested with the board of directors of the MTFC whose powers shall be delegated in the Bylaws.


B.   
Active Volunteer Committee

The success of any non-for-profit organization is to create an effective and active volunteer base.  MTFC intentions are to develop active volunteer committees (AVC) (i.e. Disciplinary Committee,  etc.) to support board members responsibilities.  These committees will have a “leader” that ultimately will report directly to a board director.  These committees or individuals will carry out a specific task or roles (which will be defined in writing and approved by voting members.)


C.   
Election and term of Board Members

1.     The board will consist of no less than 7 voting members.  The President, who will also serve as the Chairman of the Board of Directors, will serve no more than two full two year terms, unless otherwise approved by unanimous vote of the Board of Directors, and after which time he/she will assume the position of Immediate Past President for not more than two years. In addition to President, the following board positions that must be filled at all times include the Director of Risk Management, Director of Uniforms and Trophies, Director of Recreational Play, Director of Concessions, Director of Referees & Scheduling, Director of Coaching/Recreational Play, Association Registrar, Association Secretary, and Club Treasurer.  Other approved board positions which may be filled include Director of Photography, Director of Corporate Sponsorships, Director of Club Marketing & Advertising, Director of Fields, Director of Parent Involvement, and Director of School Involvement.  Each board member will hold a term of two (2) years, with additional years renewable upon approval of the board of directors for not more than three (3) consecutive two year terms or as otherwise unanimously approved by the Board of Directors.  Additional at large board members may be assigned and positions consolidated at the discretion of the board.

2.     Perspective board members may be nominated by any board member at a regularly scheduled board meeting, and must be approved by a minimum of 50% approval of eligible voting board members. 

3.     The President may appoint individual(s) to fill vacancies on the board of Directors until the next regular meeting.

4.  The Board of Directors will appoint and approve all other positions annually, and may do so more often if necessary and if viewed appropriate by the board of directors.


D.   
Meetings of the Board of Directors
1. Regular meetings of the Board of Directors shall be held to ensure the overall efficient functioning and well being of the club.

2.  Secretary will record all minutes of meetings.
3.  Financial statements will be submitted to the Board by the Treasurer within 30 days after the conclusion of every recreational soccer season.  Additional statements may be requested at anytime by vote of the board or as needed by the president.


E.   
Duties of the Board of Directors

The Board shall have vested the responsibility and authority to:

1.     Interpret and enforce the Association’s Constitution, Bylaws, Guidelines, Policies, and Procedures.

2.     Formulate and amend Constitution, Bylaws, Guidelines, and Policies and Procedures in order to serve the best interest and objectives of the Association.

3.     Board needs to exercise duty of care and loyalty acting only in the best interest of the Association.

4.     Each board member should be prepared to report on his/her activities and areas of responsibility at board meetings.

5.     Each board member shall follow the Association’s financial policy regarding budget proposals, expenses reports, and handling of Association revenue.

6.     Each board member shall be familiar with and abide by the rules of the Association, TSSA, USSF and its divisions.

7.     Adopt temporary rules and regulations for situations not provided for in the Constitution, Bylaws, Guidelines, Policies and Procedures or deemed necessary and desirable in order to serve the best interest and objectives of the Association.

8.     Reprimand, suspend, expel, or otherwise discipline any member, player, coach, referee, administrator, parent or affiliated team for violations of the Association’s Constitution, Bylaws, Guidelines, Policies and Procedures.

9.     Budget for and administer the funds of the Association.

10.  Maintain the recreational program as the primary and fundamental function of the Association. 

11.  The Board shall hear, decide and respond all protests and appeals and shall decide appropriate disciplinary actions for incidents of misconduct.

12.  The Board has the authority to develop special committees with defined functions and duration if it deems appropriate.

13.  The Board may delegate special duties to its board members when in the best interest of the association.

14. Hire, contract out, supervise, and terminate staff employees or independent contractors.

15. The Secretary will report directly to the President and assist the Executive Director with oversight by the Board of Directors.


F.  Voting Rights

Each Board member will have one vote.  Any Board member that occupies a paid position will not have an eligible vote.  If more than one individual from one family, immediate or extended sits on the board, the first elected board member will have one vote and preceding members of the family will not have an eligible vote.


Bylaw II.         SPECIFIC DUTIES OF THE BOARD OF DIRECTORS


A.   
President

1.             Act as chairperson within voting board members 

2.             Primary contact between City & parks department

3.             Presides at meetings

4.             Keeps group directed toward our goals, enforces the philosophy of play

5.             Focus on promoting league within city functions and other associations
6.             Responsible for Association’s Executive Director

7.      Manage the business of the association.


B.   
Immediate Past President

1.             Communicate, coordinate and help the President facilitate the board meetings when requested by the Board and/or President.

2.             Act in the Presidents absence if available.  (If not available, the President or Board may assign another representative to act on the Presidents behalf)


C.   Treasurer

1.             Maintain fiscal operations and accounts.  Maintain records and receipts of all money

2.             Assist the director of Coaching and President in developing annual budget

3.             Assure that an audit is performed annually of the club

4.             Pays all accounts by check with appropriate signatures designated by the bank.

5.             Produce all financial records when required by board, properly balanced, and reflecting current financial status of the Association

6.             Preparation and filing of Association’s tax returns in a timely manner

7.             Responsible for preparing any and all documents pertaining to the Charter of Incorporation and the tax exempt status of the Association

 

D.   Association Registrar

1.             Registrar of all recreational players as required by the Association and comply with team/player registration procedures.

2.             Communication contact for TSSA and other leagues.

3.             Assist in the registration process of recreational players.

 

E.   Director of Coaching/Player Development

The Director of Coaching/Player Development position, which may be a paid position without board voting rights, will be specifically tasked with the following, plus any tasks or responsibilities not outlined herein that is addressed in the agreement between MTFC and the Director of Coaching and Player Development:

1.             Developing a one-year organizational budget with Board of Directors and Treasurers oversight

2.             Create and supervise all coaching, player and referee development, education and training of players, coaches and parents.

3.             Develop, modify or improve program activities by constantly checking the validity of purpose, mission, vision goals and strategies.

4.             Evaluate outcomes of programs and make recommendations to the board.

5.             Control and assist in the formulation coaches, referees, parents and players guidelines as needed or required

6.             Monitor league issues and pass on recommendations to the board

7.             Work closely with schools and local education institutions in promoting the club and game of soccer in the community, plus other tasks outlined in the Director of Coaching Agreement with MTFC.


F.    Secretary

1.             Records and distributes minutes of all meetings of the Board

2.             Maintains lists of members in good standing and voting eligibility for meetings

3.             Maintains all permanent records of the board and notices of meetings

4.             Responsible for all written communications and distribution of association’s newsletter.

5.             Assists and coordinates with sign-ups each season for the Association’s Programs.


G.   Director of Recreational Play

1.             Oversees the overall development, management, registration, and promotion of the recreational program

2.             Enlists and oversees the Associations Age Division Directors

3.             Develops, implements and recommends changes to the Board as necessary to the Recreational Program Guidelines


H.   Director of Concessions

1.             Responsible for purchasing and sales of concessions at the soccer complex

2.             Oversees the staffing of the concessions area

3.             Works with other volunteers as needed

 
I.   Director of Trophies and Uniforms

1.             Selects, orders and distributes trophies and uniforms for the recreational program

2.             Works closely with Director of Recreational Play and Treasurer to insure that the appropriate quantities of trophies and uniforms are provided with the budgeted amount

3.             Seeks assistance of Director of Recreational Play and Director of Coaching in determining types and styles of uniforms to order

 

J.  Director of Risk Management

1.         Responsible for the Associations Risk Management

2.         Oversees the safety of the program and it’s participants


K.  Director of Referees and Scheduling

1.             Responsible for overall development, assignment, training and recruitment of referees.

2.             Works with the Registrar and other leadership in keeping the Association and its coaches aware of rule changes

3.             Maintains license as Referee Assignor

4.             Responsible for developing game schedules for recreational program.

5.             Assist in the supervision of the recreational referees, age bracket coordinators

6.             Abide by any other guidelines deemed appropriate and properly adopted by the board.
