MINUTES – SPECIAL MEETING

February 15, 2015

On Sunday February 15, 2015 at 5:05PM a special meeting of the Board of North United Classic Soccer Club (NUCS) was held as the result of the untimely passing of Club president Ralph Hale. 

In attendance were North United Classic Soccer, Inc. officers Bob Blosat (Treasurer) and Jerry Concannon (Secretary).  Mr. Helsel was excused. Additionally all NUCS teams for the Spring 2015 season were represented.

Mr. Concannon opened the meeting welcoming those in attendance and explaining the reason for this special meeting. 

  • Mr. Concannon explained that according to the NUCS bylaws in addition to the elected officers of the club every team representative was a voting member of the board of directors.  Therefore, we were going to hold elections today and each team rep would be voting. 

  • Mr. Concannon than turned the floor over to Mr. Blosat to explain the club structure, hold the elections, and present the treasurer’s report.

Mr. Blosat noted that he and Mr. Hale formed North United in 2000 as a Federal Not For Profit 501(c)(3) corporation and as such NUCS pays no federal or state income or sales tax.  Additionally, he provided the following information:

  • The corporate officers of NUCS which can vary from the elected Board of Directors are Greg Helsel – President; Bob Blosat – Treasurer; and Jerry Concannon – Secretary. These are the only individuals who have legal authority to act and sign documents on behalf of the club. 

  • The club operates on a fiscal year which the bylaws refer to as a “Seasonal Year” and starts September 1 to August 31.

  • The club files an annual 990 tax return and it is available by going to the IRS website and searching for Not For Profit organizations.

Mr. Blosat than explained that since Mr. Hale did such a wonderful job of running everything, we collectively as an executive board and club become lax in holding elections.  We learned a lesson for the continuity of the club that we need to be more diligent in holding elections and finding new talent interested in helping running the club.

Mr. Blosat explained the following as it related to electing officers for the Board of Directors:

  • There is no candidate for Secretary.  At one point we had someone in the position, but there was never an election.  We will be looking at whether to continue to have this position and will be entertaining anyone interested in the position.

  • Currently Mr. Concannon is Director of Player Development.  We have treated this as a Board level position although the bylaws were never revised to reflect this change.

  • Mr. Helsel is currently Director of Coaching.  Due to his interest in the President’s position we are proposing splitting the Director of Coaching into a Boys and Girls position on an interim basis as we re-evaluate board positions.

Mr. Blosat than presented the slate of candidates for this special election:

  • President – Greg Helsel

  • Treasurer – Bob Blosat

  • Secretary – None

  • Registrar – Tony Hardgrove

  • Director of Coaching (Girls) – Jerry Concannon

  • Director of Coaching (Boys) – Kevin Cooke

Mr. Blosat asked for vote by show of hands all in favor of slate of candidates and all candidates were unanimously elected. 

Mr. Blosat noted that the bylaws call for the Treasurer and Director of Coaching to be elected on even years so those individuals will serve until September 1, 2016.  The President, Registrar, Secretary are elected on odd years and those individuals will serve until September 1, 2017.  Mr. Blosat further noted that the executive group is looking at revising the current bylaws and the board positions and election process is subject to that review.

Mr. Blosat than present the Treasurer’s report.  He noted that in the past five years the club has increased its revenue by 50% largely due to an increase in the number of teams.  He explained that the report is condensed into three areas to illustrate what it cost us To Play, To Train (Indoors) and to Run the Club (Administratively).  Mr. Blosat noted our biggest expense is Coaching which is 50% of our costs.  Field rental comes in second at 21%.  Administration expense was 7.7% and includes such things as port-a-johns; postage; misc. expense and stipends to administrative personnel.  He noted that Mr. Hale’s total compensation was $12,000 annually.   Below is the Treasurer’s report as presented:

Mr. Concannon than covered the following issues:

  • Friendly reminder to team reps when communicating with their teams to stay current with dues.

  • Asked team reps to please notify Greg and Bob of how many home games they will have so we can get checks out for referee money.

  • Asked team reps to set a positive example when at games and to report any incidents to Greg and Jerry/Kevin as appropriate.

  • Reminded all team reps that they need to have both criminal and child clearances according to new PA West guidelines.  The club will reimburse them for the $20 fee.  Copies of their clearances need to be sent to Greg.

  • The club is planning on dedicating our field complex in Ralph’s memory.  We will be planning a club event and anyone who has any ideas should contact Jerry.

  • Additionally, we are looking into getting armbands for the players to wear this year honoring Ralph.  Greg is working on this.

There being no further business at 6:00PM Mr. Concannon asked for a motion to adjourn.  Mr. Blosat seconded.  All voted in favor.
